Professional Experience / Bio

Doug specializes in the creation, operation, reorganization, acquisition, and disposition of partnerships, corporations, and other business and professional entities in federal and state taxation practice areas.  Through the Business & Tax Department at Rogers Towers, Doug ensures that business entities, such as healthcare, financial, and engineering businesses, are equipped to navigate mergers and acquisitions (M&A) and general corporate matters.  Doug’s practice includes structuring and negotiating highly complex business transactions governed by laws that are constantly changing throughout the United States and in international markets.

Doug leverages his technical expertise of the law, dedication to excellence in business transactions, and commitment to the Jacksonville community through his practice.  An essential asset in the structuring of businesses, tax planning, and investment opportunities, Doug drafts partnership agreements, shareholder agreements, acquisition agreements, non-qualified deferred compensation plans and agreements, and merger agreements.  Additionally, he assists clients in forming foreign holding companies and joint venture entities for international business ventures by coordinating with local counsel and practicing at the forefront of federal and international tax law.

Recently, Doug represented a major regional healthcare provider in the sale of a controlling interest in its ambulatory surgery centers to a national provider, represented multiple engineering and architectural services companies in their sales to multi-regional companies, and prepared an online after-market auto parts seller in their sale to a national auto parts distributor.

The transactions that Doug oversees require extensive teamwork among the Tax Group and Intellectual Property & Technology & Technology Group. Doug also regularly interfaces with the Litigation, Government & Regulatory, Healthcare, Labor & Employment, Real Estate, and Trusts & Estates groups within Rogers Towers.  Doug’s holistic approach to corporate transactions and culture encourages and fosters tremendous teamwork and camaraderie that distinguishes Rogers Towers and its attorneys.
