Heather is a member of the firm’s Business and Tax Department. She focuses her practice on mergers and acquisitions (M&A) and corporate governance, specializing in middle-market transactions in Florida and across the country.
Heather represents a wide range of private corporations, limited liability companies (LLCs), and other privately-owned businesses across a diverse range of industry sectors. She works with clients at every stage of an entity’s life cycle – from formation, to general contract and operational matters, to buy- and sell-side transactions. She regularly assists clients with the preparation and negotiation of operating agreements, bylaws, letters of intent, purchase agreements, and other corporate documents.
Heather assists the Litigation Department in drafting documents to resolve issues before they reach the litigation stage with a strong focus in helping clients resolve matters expeditiously. Heather also works with the Rogers Towers Employment & Labor Department on reviewing stock incentive plan documents for employers in connection with employee termination or voluntary resignations. Additionally, Heather creates LLCs to hold real property, assignments of equity interest to be held by trusts, and reviews, edits, and drafts updated corporate documents in her capacity when she works with the Trusts & Estates Department.
