As a member of the Business and Tax Department of Rogers Towers, Hayley’s practice primarily focuses on the areas of federal and state taxation, business transactions (including mergers, acquisitions, divestitures, dispositions and joint venture transactions), and business entity selection, formation and governance (including corporations, limited liability companies, limited partnerships, limited liability partnerships and limited liability limited partnerships).
Hayley regularly assists clients across a wide range of industries with tax planning and strategy relating to the creation, operation, reorganization, expansion and disposition of business entities. She represents clients before the Internal Revenue Service and the Florida Department of Revenue on federal and state tax matters. She also counsels clients on tax matters relating to choice of entity and entity formation, as well as on corporate governance and maintenance matters, investment opportunities, and debt and equity financings.
She also assists clients in executive and deferred compensation matters, including the preparation of nonqualified deferred compensation plans and agreements, in the preparation of formation and organizational documents for business entities, including articles of incorporation, articles of organization, bylaws, operating agreements and shareholder agreements, and in the preparation of business transaction documents, including merger agreements, asset purchase agreements, stock purchase agreements, and joint venture agreements, together with the related ancillary documents.
Hayley also provides advice pertaining to tax-exempt organizations and collaborates with the Intellectual Property & Technology & Technology and Sports & Entertainment groups at Rogers Towers, helping clients in the sports, entertainment, and technology sectors navigate licensing agreements, service agreements, and asset sales.
